2. NATURE AND SCOPE OF SERVICES
DireNote Media provides comprehensive 360° artist services designed to support your music career across multiple aspects of the industry:
2.1 Digital Music Distribution
• Distribution of your music to 100+ digital service providers (DSPs) including Spotify, Apple Music, Amazon Music, YouTube Music, Tidal, Deezer, JioSaavn, Gaana, Wynk, and other streaming and download platforms worldwide
• Generation and registration of ISRC (International Standard Recording Code) and UPC/EAN (Universal Product Code/European Article Number) identifiers
• Delivery of audio files, artwork, metadata, lyrics, and credits to DSPs
• Management of release scheduling, pre-release campaigns, and pre-save links
• Monitoring of release status and resolution of delivery issues
• Catalogue management and release updates
2.2 Publishing Administration and Rights Management

• Specifying accurate copyright ownership, publishing information, and rights splits
• Including correct ISRC codes if previously registered
• Providing high-quality artwork that meets DSP specifications (minimum 3000x3000 pixels, RGB color mode)
• Ensuring lyrics are accurate, properly formatted, and synchronized where applicable
• Updating metadata promptly when corrections or changes are necessary
3.3 Content Quality Standards
All uploaded content must:
• Meet minimum technical specifications for audio quality (lossless formats preferred: WAV, FLAC, AIFF at 16-bit/44.1kHz or higher)
• Be free from audio defects including distortion, clipping, silence, or corrupted files
• Not contain excessive silence at the beginning or end of tracks
• Include proper fade-ins and fade-outs where appropriate
• Comply with loudness standards and mastering guidelines
• Be complete and finalized recordings, not demos or work-in-progress versions
3.4 Prohibited Content and Activities
You agree NOT to:

• Use VPNs, proxy servers, or other methods to artificially inflate streams or manipulate geographic data
• Engage in playlist manipulation, fake playlist placements, or deceptive promotional practices
• Create duplicate releases or spam platforms with identical content under different names
• Upload content containing malware, viruses, or harmful code
• Attempt to reverse-engineer, decompile, or hack our systems or security measures
• Abuse storage resources, bandwidth limits, or API rate limits
• Violate the terms of service of any DSP or third-party platform
• Misuse Content ID systems by filing false copyright claims
• Engage in fraud, money laundering, or other financial crimes
3.5 Account Security Obligations
You must:
• Maintain secure access to your account credentials and not share passwords
• Enable two-factor authentication when available
• Monitor your account activity regularly for unauthorized access
• Report suspicious activity or security breaches immediately
• Log out from shared or public devices
• Update compromised passwords promptly
3.6 Consequences of Violations
DireNote Media reserves the right to take the following actions for policy violations:
• Immediate suspension or termination of your account without prior notice
• Removal of violating content from all distribution channels
• Withholding of royalty payments pending investigation
• Reporting of fraudulent activity to DSPs, payment processors, and law enforcement authorities
• Legal action to recover damages and enforce our rights
• Permanent ban from creating new accounts or using our Services

4. GRANT OF RIGHTS AND LICENSE
4.1 Non-Exclusive License
By uploading content to DireNote Media, you grant us a worldwide, non-exclusive, royalty-bearing, transferable license to:

• Encode, transcode, and convert your content into formats required by various DSPs and platforms

• Administer and enforce your rights through Content ID systems, copyright protection services, and rights management platforms
4.2 Metadata and Credits License
You grant us permission to:
• Send your music metadata, credits, contributor information, and liner notes to DSPs and music databases
• Register your works with performing rights organizations and mechanical rights societies
• Submit songwriter and publisher information to collection societies and royalty administrators
• Include your content in industry databases, music recognition services (such as Shazam, SoundHound), and lyric platforms
4.3 Content ID and Rights Administration
You authorize DireNote Media to:
• Register your master recordings with YouTube Content ID and similar copyright detection systems
• Monitor for unauthorized uses of your content across digital platforms
• File copyright claims, takedown notices, and DMCA requests on your behalf
• Collect and administer monetization revenue from user-generated content featuring your music
• Manage disputes, counter-notifications, and rights conflicts
• Represent your interests in copyright enforcement proceedings
4.4 Retention of Ownership
You maintain full ownership of your intellectual property, including:
• Master recording copyrights
• Musical composition copyrights

• Trademark rights in your artist name and brand

4.6 Exclusivity
Unless otherwise specified in your subscription plan or a separate agreement:
• You retain the right to distribute your music through other distributors or platforms simultaneously
• You may upload the same content to multiple distribution services
• You are not restricted from self-releasing your music directly to DSPs if you have direct agreements
• Certain premium services may require exclusivity commitments, which will be clearly disclosed
5. PAYMENT, REVENUE SHARING, AND ROYALTIES
5.1 Revenue Collection and Distribution
• DireNote Media collects royalties and revenue from digital service providers (DSPs), performing rights organizations (PROs), and other sources on your behalf
• You receive royalty payments according to your subscription plan's revenue share percentage after deduction of applicable fees, commissions, and transaction costs
• Revenue share percentages vary by plan and are clearly disclosed at the time of subscription
• Royalties are calculated based on actual payments received from DSPs, not on estimated or projected earnings
5.2 Payment Processing and Schedule

• DireNote Media processes payments on a monthly, quarterly, or semi-annual basis depending on your plan and accumulated balance
• Minimum payout thresholds may apply (typically ₹500 to ₹1,000) to reduce transaction costs
• Payments are made via bank transfer, UPI, PayPal, or other supported payment methods
• You are responsible for providing accurate payment information and keeping it updated
5.3 Royalty Reporting and Transparency
• Detailed royalty statements are provided through your dashboard, showing earnings by release, track, DSP, and territory
• Reports include stream counts, download numbers, revenue per stream, and territorial breakdowns
• Historical data is accessible for the duration of your account
• You may export reports in CSV or PDF format for your records
5.4 Subscription Fees and Charges
• Subscription fees for distribution plans are charged annually, monthly, or per-release depending on the plan selected
• Fees are non-refundable except as required by applicable law
• Failure to pay subscription fees may result in account suspension and removal of content from DSPs
• Additional fees may apply for premium services such as expedited delivery, playlist pitching, or marketing campaigns
5.5 Withholding and Holds
DireNote Media may withhold royalty payments in the following circumstances:
• Suspected fraud, stream manipulation, or terms of service violations
• Disputes regarding content ownership or rights claims
• Pending verification of identity, tax information, or payment details
• Chargebacks, refunds, or reversed transactions from DSPs
• Legal holds, court orders, or investigations by authorities
• DSP-initiated holds due to policy violations or content flags

5.6 Limitation of Liability for Payment Issues
DireNote Media is not responsible for:
• Delays caused by DSPs, payment processors, banking systems, or technical issues beyond our control

• Taxes, fees, or charges imposed by third-party payment systems
• Incorrect payment information provided by you
• Payment failures due to closed accounts, invalid details, or rejected transactions
5.7 Tax Responsibilities
• You are solely responsible for reporting income and paying applicable taxes on royalties received
• DireNote Media may issue tax documents (such as Form 16A in India or 1099 forms for US taxpayers) where required by law
• International users may be subject to withholding taxes as per local tax treaties and regulations
• You agree to provide necessary tax identification information (PAN, TIN, SSN, etc.) upon request

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Guarantees of uninterrupted, timely, secure, or error-free service
• Guarantees regarding the accuracy, reliability, or completeness of content or data
• Guarantees of specific results, earnings, or promotional outcomes
9.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRENOTE MEDIA SHALL NOT BE LIABLE FOR:

• Loss of data due to user error, technical failures, or force majeure events
• Unauthorized access to accounts due to compromised credentials or user negligence
• Indirect, incidental, consequential, special, or punitive damages
• Malware attacks, security breaches, or cyber incidents originating from third parties
• Copyright disputes, infringement claims, or legal actions arising from user-uploaded content
9.4 Cap on Liability
IN NO EVENT SHALL DIRENOTE MEDIA'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE TOTAL AMOUNT PAID BY YOU TO DIRENOTE MEDIA IN THE 12 MONTHS PRECEDING THE CLAIM.
9.5 Indemnification
You agree to indemnify, defend, and hold harmless DireNote Media, its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Non-payment of subscription fees or chargebacks
• Copyright infringement or repeated DMCA violations
• Abusive behavior, harassment, or threats toward staff or other users
• Security risks or harmful activities
• Legal requirements or law enforcement requests
• Prolonged account inactivity (typically 24+ months)
10.4 Effects of Termination
Upon termination of your account:
• Your access to the Services will be immediately revoked
• Your content will be removed from distribution channels subject to DSP processing times
• Pending royalties will be paid according to normal payment schedules unless withheld for violations
• You will lose access to analytics, reports, and historical data (download backups before termination)
• Content ID claims and copyright protection will be discontinued
• White-label partnerships and sub-accounts will be deactivated
10.5 Survival of Provisions
The following provisions survive termination of this Agreement:
• Payment obligations and outstanding fees
• Intellectual property rights and ownership
• Indemnification obligations
• Limitation of liability and disclaimers
• Dispute resolution and governing law provisions
11. DISPUTE RESOLUTION AND GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
